Shanghai, China, August 7, 2026 – ImmuneOnco Biopharmaceuticals (Shanghai) Inc. (hereinafter referred to as "ImmuneOnco," HKEX Stock Code: 01541.HK) announced that its subsidiary, ImmuneCare Biopharmaceuticals (Shanghai) Co., Ltd. ("ImmuneCare"), officially entered into a capital increase agreement on August 6 with external professional investment institutions, including Jiaxing Zhangke Lingyi Shengke Qihang Ventures L.P. (Limited Partnership) ("Shengke Qihang"), and independent individual investors. This capital increase aims to further strengthen ImmuneCare's financial resources and accelerate the research and development of innovative drugs in cardiovascular diseases, such as pulmonary arterial hypertension (PAH), as well as metabolic diseases. This marks the steady implementation of ImmuneOnco's "oncology + non-oncology" dual-engine strategy.


Introducing External Professional Institutions to Optimize Capital Structure

Through its first introduction of external commercial capital, ImmuneCare has successfully transitioned to a diversified equity structure, aiming to accelerate the R&D of innovative drugs in cardiovascular and metabolic diseases. This round of investment fully demonstrates the capital market's high recognition of the extensibility of ImmuneOnco's technology platform and its firm confidence in ImmuneCare's innovation potential in the non-oncology field.


This capital increase not only provides ImmuneCare with ample financial support but also aligns highly with the company's long-term strategic development goals. Through independent external financing, ImmuneCare can advance early-stage R&D projects more flexibly and efficiently without occupying the financial resources of the parent company's core oncology pipeline, thereby achieving highly efficient business complementarity and risk diversification.

In the cardiovascular field, ImmuneCare's independently developed IMC-003 (IMM72, ActRIIA-Fc fusion protein) has reached a key milestone in the R&D for the PAH indication. The project has completed dosing for all seven dose cohorts in the Phase I Single Ascending Dose (SAD) study and has smoothly initiated the Multiple Ascending Dose (MAD) study, with enrollment completed for the first three dose cohorts. Preclinical data indicate that the binding affinity and signal blockade activity of IMC-003 are more than five times those of Sotatercept, a drug in the same class. This demonstrates stronger efficacy potential, offering a breakthrough treatment option for PAH, often referred to as "cardiovascular cancer."


In addition, ImmuneCare has developed IMC-004, a bispecific antibody targeting ActRIIA and RANKL, aiming to explore new therapeutic pathways for osteoporosis.


In the metabolic and weight-loss/muscle-gain field, ImmuneCare has proactively laid out an innovative matrix targeting unmet needs such as obesity. Among these, IMC-011 (IMM91), a monoclonal antibody targeting latent GDF8, is in the preclinical stage and has demonstrated excellent muscle-building effects; it is currently being prepared for an Investigational New Drug (IND) application. The bispecific antibody IMC-015 (IMM9101, GDF8×ActRII bispecific antibody) aims to utilize an ActRII pathway blockade strategy to address muscle loss in obese patients, achieving the dual benefits of "fat reduction and muscle gain." It is also being prepared for an IND application.
